1. Terms and acceptance

By accessing and using this website (the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions of Use between Studio 8, s.p. (Oglasna) and you, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local and international laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site and must discontinue use immediately. The materials contained in this website are protected by applicable copyright and trademark law. Studio 8, s.p. (Oglasna) may change these terms at anytime by updating this page.

2. Intellectual Property Rights/ Use license

The materials provided on this Site are held by Studio 8, s.p. (Oglasna). The material provided on this Site protected by law, including without limitation.

None of the material may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means without the permission of Studio 8, s.p. (Oglasna). The only valid permission is one of written and signed consent from an official Oglasna account.

When permission is granted to you to download and use the materials on this Site for personal, it is for non-commercial use only, provided you do not modify the materials and that you retain all copyright and other proprietary notices contained in the materials.

You are not granted permission to modify or copy the materials, use the materials for any commercial purpose, or for any use in public (commercial or non-commercial), attempt to disassemble or reverse engineer any content contained on the Site, remove any copyright or other notations from the materials.

Any granted permission shall automatically terminate if you violate any of these restrictions. Any permissions may be terminated by Studio 8, s.p. (Oglasna) at any time. Upon termination of your permission, you must destroy any downloaded materials in your possession whether in electronic or printed format.

3. Payment, subscription and Cancellation

You agree to pay the fees, in such amount as specified during payment, in full prior to any obligation of Oglasna to perform under these Terms.

You affirm and guarantee to Oglasna that your payment information is accurate and that you are authorized to use the payment method that you have provided. You also agree to promptly update your account information with any changes (for example, a change in your billing address or credit card expiration date) that may occur.

3.1 Payment models

We offer 2 payment models depending on the services you are hiring us for:

a) One-time payment for services (audio/radio production – available only in Slovenia)

b) Recurring Month Fee (subscription)

3.1a One-time payment

The one-time payment option is available for audio/radio production services that we provide exclusively for companies in Slovenia because we only provide audio/radio production for Slovenian audio/radio adverts. If you need an audio or radio ad in Slovenian, but are based outside Slovenia, send us an email at hello@oglasna.com and we’ll help you out.

 3.1b Subscriptions

By starting your Oglasna subscription and providing or designating a payment method, you authorize us to charge you a monthly subscription fee at the then current rate, to your payment method. Oglasna reserves the right to adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion, and without prior notice. Except as otherwise expressly provided for in these Terms of Service, any price changes to your service will take effect following email notice to you.

You acknowledge that the amount billed each month may vary from month to month for reasons that may include differing amounts due to changing or adding a plan, or adding additional services to your order. You authorize us to charge your payment method for such varying amounts, which may be billed monthly.

Automatic Subscription Renewals: To ensure uninterrupted service, we'll automatically bill you for our Services from the date you submit your subscription and on each renewal period afterwards until cancellation. Your renewal period will be equal in time to the renewal period of your current subscription. For example, if you're on a monthly subscription plan, each billable renewal period will be for one (1) month. We’ll automatically charge you the applicable amount using the payment method you have on file with us.

We automatically bill your payment method each month on the calendar day corresponding to the commencement of your paying subscription. Subscription fees are fully earned upon payment. We reserve the right to change the timing of our billing, in particular, as indicated below, if your payment method has not successfully settled. In the event your paying subscription began on a day not contained in a given month, we may bill your payment method on a day in the applicable month or such other day as we deem appropriate. For example, if you started your Oglasna subscription or began paying on January 31st, your next payment date is likely to be February 28th, and your payment method would be billed on that date. Your renewal date may change due to changes in your subscription. We may authorize your payment method in anticipation of service-related charges. As used in these Terms of Service, “billing” shall indicate a charge, debit or other payment clearance, as applicable, against your payment method. Unless otherwise stated differently, month and monthly refers to your billing cycle.

Taxes: All fees are exclusive of applicable national, provincial, state, local or other taxes (“Taxes”), unless explicitly stated otherwise. You're responsible for all applicable Taxes, and we'll charge Taxes in addition to the fees for the Services when required to do so. If you're exempt from Taxes, you must provide us with valid tax exemption documentation. We reserve the right to determine if the documentation provided is valid. Tax exemption will, provided we’re satisfied its valid and applicable, only apply from and after the date we receive such documentation.

You may pause or cancel your Oglasna subscription at any time. You will continue to have access to all unfulfilled Oglasna services (as stated in article 14. of these Terms) through the end of your monthly billing period. To cancel, email our support team at hello@oglas.com.

4. Refunds

There are no refunds or partial-month subscription periods. You may, however, pause or cancel your subscription at any time.

5. Disclaimer of Warranties

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall Oglasna, including our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.

6. Governing Law

Any claim relating to Oglasna.com shall be governed by the laws of the European Union without regard to its conflict of law provisions.

7. Revisions and data errata

The materials appearing on Oglasna.com could include auditory, visual, technical, typographical, or photographic errors. Oglasna does not warrant that any of the materials on its web site are accurate, complete, or current. Oglasna may make changes to the materials contained on its web site at any time without notice. Oglasna does not, however, make any commitment to update the materials.

8. Links & Networks

Oglasna has not reviewed all of the sites linked to its Site and is not responsible for the contents of any such linked sites. The inclusion of any link does not imply endorsement by Oglasna of the site. Use of any such linked website is at the user’s own risk.

9. Ownership

9.1 Consultancy and training

Oglasna subscription models are based on consultancy, the information of which we have sole ownership of. Any and all information provided to you through our consultancy process is available to you for use within your business, production and other working processes, and is limited to such use.

The client acknowledges and agrees that all information, content, and materials provided during the training or consultancy process are the exclusive property of Oglasna. The client is expressly prohibited from recording, copying, distributing, disseminating, or otherwise sharing this information without the express written consent of Oglasna. Any violation of this provision may result in immediate termination of services and potential legal action.

In the event of unauthorized recording, copying, distribution, dissemination, or sharing of the information provided during the training or educational process, the client will be liable for damages to Oglasna. The amount of these damages will be determined by Oglasna and may include, but are not limited to, the cost of the training or educational services provided, lost profits, and reasonable attorney’s fees.

Hiring our Ads Director falls under the consultancy bracket. Ownership of the information and materials provided within the service the Director provides to create your adverts are as such governed by the same principles as have been outlined so far in this section. However, any final product created during the fulfillment of this service is not covered by this provision and as such remains in your ownership.

We also provide strategic consulting as a product for a one-time payment. This consulting is separate as it is focused on your client’s specific communication process and as such any information or content provided is then available to the client for further use within that client’s marketing activities.

9.2 One-time payment services

Other one-time payments include ad production (available only in Slovenia), and sound logo production. Once your advert is complete and we send it to you, you become the owner of the final product and all the audio files we create for you. You affirm that any all materials you provide are proofed and approved to be used in your adverts, and are not owned or trademarked by a different entity. You are responsible that any materials provided can be legally used in our audio/radio production. We are not liable for the materials you provide as it pertains to license or trademark issues and you represent to Oglasna that all materials provided do not infringe on the intellectual property rights of third parties.

10. Indemnification

You agree to indemnify and defend Oglasna and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, against any claims for damages or other claims for compensation arising from the use of the Oglasna services or as a result of any incorrect information you may have provided Oglasna with. This includes reasonable attorneys’ fees, made by any third-parties due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party. You also agree to compensate Oglasna for any other damages or costs caused by your improper, negligent or unauthorised use of Oglasna services.

11. Severability

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

12. Confidentiality

All communication between you and any Oglasna representative are held confidential. We uphold confidentiality in all communication regarding your brand and business. We will only communicate to those who have been authorized by you and will not share any information provided with anyone outside our organization, subject to our Privacy Policy.

13. Sample work

By default, you agree to provide Oglasna with a non-exclusive right and license to publish the work we have done for you in our portfolio, social media or within any other communicational media in order for us to show our work, and/or the benefit that it provides. If you would like to revoke this right, please notify our team in writing to hello@oglasna.com.

14. Services and Delivery

14.1 Subscription services

After we receive payment, our team will get in touch with you on how to proceed with the onboarding process and to schedule dates for our monthly online session or in person visits – depending on your subscription (the same dates every month, unless those fall under weekend days, holidays). Dates are flexible, but not transferable from month to month. Exceptions only in the form of written consent from an official Oglasna account.

Our online sessions or visits last for 2 full working days per month. Exceptions include extended days for ads direction in our Premium package or if you have purchased the services of our Ads Director on top of your subscription.

You may have as many people from your company attend the training, coaching or consultancy sessions as you wish.

We can cover as many cases, specific or theoretic, during our sessions or visits, as you wish.

14.2 One-time payment services

After we receive payment, our team will get in touch with you on how to proceed with the onboarding process.

14.2a Ad production & Sound logo

*Ad production is limited to Slovenia.

This can include and is not limited to acquiring a written brief on your or your client’s communicational strategy which we can also run through on a call. Our turn around time from receiving the brief or final information to ad completion is 3-5 business days.

14.2b Strategic consulting

This is a consulting service focused on your client’s specific communication process and strategy. Meant particularly for clients who are unsure of what their strategy should be and which direction it should take, we make ourselves available to guide the client to more focused communication. This service is not strategy creation, it is strategy guidance. Services are available to the client for one full working day which can be split up into several parts over several days.

14.2c Ads Director

Hiring our Ads Director means that you acquire their services for a one-time project. This service is to ensure that all the elements of an audio or radio advert, as well as the final product, are at the standard we hold at Oglasna. This also means that you already have a production crew available and you require guidance and direction within the production process, which is why you are hiring our Ads Director. This is an online service unless your production crew works from Slovenia or you are a subscriber of in person services. If you are a subscriber of in person services, then we are available to work with your production crew in person while on site, during our monthly visit.

15. DMCA

In the event materials are made available to this Site by third parties not within our control, we are under no obligation to, and do not, scan such content for the inclusion of illegal or impermissible content. However, we respect the copyright interests of others. It is our policy not to permit materials known by us to infringe another party’s copyright to remain on the Site. If you believe any materials on the Site infringe a copyright, you should provide us with written notice that at a minimum contains:

• A statement that you have read and understood this DMCA process;

• Identified relevant work or material;

• Explain possible remedies;

• Provide your contact information; and

• Include your physical or electronic signature.

We may make certain information available that is provided by third parties relating to these Services. This information is provided as a guide only and should not be interpreted as a recommendation. As information is constantly updated some information may be out of date from time to time. You agree that all risk associated with the use of, or reliance on, any of the information rests with you. Further you agree that we and our suppliers shall not be liable, directly or indirectly in any way for any loss or damage of any kind as a result of your use of these Services.
